Godl Supply – End User License Agreement

1. License Grant

Subject to the terms and conditions of this Agreement, Godl Supply grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your personal, non-commercial purposes.

This license does not grant you any ownership interest in the Software or Licensed Materials.

2. Restrictions on Use

You agree that you will not:

• copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software;
• distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party;
• remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
• use the Software for any unlawful, fraudulent, or malicious purpose;
• use the Software to develop competing products or services, or to benchmark or conduct performance testing for publication without prior written consent;
• use automated bots, scrapers, or similar tools to access or interact with the Software;
• attempt to gain unauthorized access to any systems, networks, or infrastructure supporting the Software.

3. Intellectual Property

All rights, title, and interest in and to the Software, including all intellectual property rights, are and shall remain the exclusive property of Godl Supply and its Contributors. This Agreement does not convey any ownership rights.

All trademarks, service marks, logos, and trade names displayed on the Software are proprietary and may not be used without prior written permission.

4. Open-Source Components

The Software may incorporate or depend upon open-source software components, each of which is subject to its own applicable license terms. Nothing in this EULA restricts or limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license.

Where there is a conflict between this EULA and the terms of an open-source license, the open-source license shall govern with respect to the relevant open-source component.

5. No Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GODL SUPPLY AND ITS CONTRIBUTORS DO NOT WARRANT THAT:

• the Software will be uninterrupted, error-free, or free of vulnerabilities;
• the Software will meet your requirements or expectations;
• any defects or errors will be corrected;
• the results obtained from use of the Software will be accurate or reliable.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL GODL SUPPLY OR ANY CONTRIBUTOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, FUNDS, OR GOODWILL.
• TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED USD $100.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF GODL SUPPLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to indemnify, defend, and hold harmless Godl Supply and all Contributors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• your use or misuse of the Software;
• your violation of this Agreement;
• your violation of any applicable law, regulation, or third-party rights.

8. Termination

This Agreement is effective until terminated. Your license to use the Software terminates automatically if you fail to comply with any term of this Agreement.

Godl Supply may terminate or suspend your access to the Software at any time, without prior notice or liability, for any reason, including but not limited to legal, regulatory, or risk-management considerations.

Upon termination, you must immediately cease all use of the Software. Sections 3, 5, 6, 7, 9, 10, and 11 shall survive any termination of this Agreement.

9. Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved exclusively through binding, individual arbitration, as set forth in the Terms of Service. You waive any right to a jury trial or participation in a class action.

10. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

11. Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and Copyright Notice, constitutes the entire agreement between you and Godl Supply with respect to the Software and supersedes all prior or contemporaneous communications, proposals, and agreements.
